Shareholder - Wikipedia, the free encyclopedia
Stockholders or shareholders are considered by some to be a partial subset of stakeholders, which may include anyone who has a direct or indirect equity interest in the business entity or someone with even a non-pecuniary interest in a non-profit organization.
For example, in California, majority shareholders of closely held corporations have a duty to not destroy the value of the shares held by minority shareholders.
The largest shareholders (in terms of percentages of companies owned) are often mutual funds, and especially passively managed exchange-traded funds.

The shareholder must provide this written statement regardless of the method the shareholder uses to prove that he or she continuously owned the securities for a period of one year as of the time the shareholder submits the proposal.
Shareholders who write to us to object to a company's statement in opposition to the shareholder's proposal also should provide us with copies of the proposal as it will be printed in the company's proxy statement and the company's proposed statement in opposition.

Activist shareholder - Wikipedia, the free encyclopedia
The goals of activist shareholders range from economic (increase of shareholder value through changes in corporate policy, financing structure, cost cutting, etc.) to non-economic (disinvestment from particular countries, adoption of environmentally friendly policies, etc.).
An activist shareholder uses an equity stake in a corporation to put public pressure on its management.
For example, in September 2003, hedge fund manager Lawrence J. Goldstein created a new fund specifically for the purpose of using such activism to increase the value of targeted corporations' equity.

To file a shareholder proposal, you must submit the proposal to a company by the deadline stated in the company's proxy statement, usually six months before the annual meeting.
The Securities and Exchange Commission (SEC), which is charged with overseeing the shareholder process, requires that shareholders own at least $2,000 worth of shares in a company (or 1% of all shares) to file a shareholder proposal.

All shareholder votes on resolutions relating to social and environmental responsibility causes are in fact non-binding.
In January 2004, for example, an environmental resolution for J.P. Although the SEC and other regulatory bodies attempt to enforce a certain degree of shareholder rights, a well-informed investor who fully understands their rights as a shareholder is much less susceptible to additional risks.

SSRN-The Shareholder Primacy Norm by Gordon Smith
Legal scholars generally assume that the shareholder primacy norm is a major factor considered by boards of directors of publicly traded corporations in making ordinary business decisions and that changing the shareholder primacy norm would have an effect on the substance of those decisions.
As a result, even though the shareholder primacy norm is closely associated with debates about the social responsibility of publicly traded corporations, it's impact on the ordinary business decisions of such corporations is extremely limited.
But the application of the shareholder primacy norm to the ordinary business decisions of publicly traded corporations is muted by the business judgment rule.

I argue that in the shareholder power debate over whether to vest corporate decisionmaking authority primarily in a firm's shareholders or in its board of directors, shareholder primacists underplay deep rifts among the interests of large-block shareholders - those shareholders most likely to make use of increased shareholder power.
Specifically, I argue that the present regime of limited shareholder voting rights is the majoritarian default and therefore should be preserved as the statutory off-the-rack rule.

The presence of other stakeholders, whose interests in the firm may be not reflected in an assessment of shareholder value, raises questions about efficiency analyses that do not incorporate those interests into their assessment of firm value.
