 Company (law) - Wikipedia, the free encyclopedia
The most important legislation governing company law is found in the Companies Act 1985 and to a lesser extent the Companies Act 1989.
A company is not necessarily a corporation, and thus may not have a separate existence from its members.
Directors and company secretaries can be either individuals or corporate entities, and there are almost no nationality and residence restrictions, although there must be an office within the UK, registered with Companies House.

A company, the liability of which vis-à-vis creditors is limited to all its assets, and liability of all partners is limited to the amount of their payments in share capital, is a limited liability company.
A joint and several liability company shall be wound up in the following cases: (i) on the expiry of the activity period, (ii) by a decision of the partners, (iii) because bankruptcy proceedings have been initiated with regard to the company’s assets, (iv) by the decision of a court.
A joint and several liability company is a legal entity.
