 Encyclopedia4U - Corporation - Encyclopedia Article
This leads to the so-called "double-taxation" of corporate profits: a given profit will be subject to income tax twice, once at the corporate level, as an item of income, and once at the stockholder level, as a dividend.
A flow-through entity is not treated as a person for income tax purposes, instead its income and loss (and every other tax attribute) is divided up among its partners and reported by them to the IRS.
There is also a final type of business entity that can be used, though it is most often used as a vehicle for investment purposes, called a business trust.

Massachusetts Income Tax Treatment of Limited Liability Companies and Other Unincorporated Business Entities After ...
Unincorporated business entities with two members or more may elect to be taxed as partnerships or as corporations.
The federal entity classification rules then in effect listed six corporate attributes which were used to determine whether an unincorporated business entity was to be classified as a partnership or as a corporation.
Under the new federal rules ("check-the-box rules"), single-member unincorporated business entities may elect either to be taxed as corporations or to be disregarded as entities separate from their owners, in which case they will be treated as a sole proprietorship, branch, or division of the owner.

 Business Entities
Business is conducted entirely on the account of the establishing entity, and the income and expenses of the business do not flow through to the undisclosed partners.
For Japanese legal purposes, only the establishing entity is considered to be conducting the business, and such entity owns all assets and is liable for all liabilities of the business, although the partnership contracts may provide for the undisclosed partners to bear a portion of such liabilities.
An undisclosed association is an arrangement whereby an individual or entity undertakes a business activity on behalf of one or more undisclosed partner who will receive or bear a portion of the ultimate gain or loss in the business activity.

Estate Planning with Business Entities - Layne T. Rushforth's Estate Planning Pages
Business entities require that certain legal formalities be observed and that separate accounting records be meticulously maintained.
For assets not held in an existing business entity, sometimes the formation of a corporation, partnership, or limited liability company can help accomplish estate-planning objectives, including asset management, asset preservation, and even estate reduction.
In other words, a 5% business interest has a fair-market value of less than 5% of the business' assets because of certain valuation "discounts" that apply, including a discount for lack of voting control and a discount for lack of marketability.

Also, these two entities do not have the disadvantage of double taxation, as both are pass-through tax entities.
Typically, shareholders are not liable for the debts and obligations of the corporation, thus creditors won't come knocking at the door of a shareholder to pay debts of the corporation.
Conversely, with sole proprietorships and general partnerships, the owner(s) and the business are legally the same; therefore, the personal assets of the owner(s) can be used to pay debts of the business.

Also, you may have mis-managed an existing business entity to the extent that your limited liability is in jeopardy or is non-existent.
These entities are accompanied with formal rules from the state regarding the entity's structure and operation, along with some state supervision and annual taxes or registration fees.
A serious disadvantage is that all profits are taxed at the corporate level, then dividends or profits are taxed to the shareholders, resulting in double taxation of profits.

 Business Entities
Business owners, particularly family business owners, have a special need for comprehensive and integrated business and estate planning.
Family-owned business create a unique opportunity for both gifting to children and creating "valuation discounts" for the business.
A major part of the process is determining what entity or entities to use for ownership of the business(es).

Independent Contractors’ Experiences with Business Entities and Insurance
Businesses may be able to get a competitive rate from their business liability insurance company.
Because of recent judicial awards for errors and omissions, some insurance companies are reluctant to issue business liability insurance policies to independent contractors who do not have errors and omissions insurance.
Although the owners of LLCs and corporations may be protected from personal liability for errors and omissions, there are a number of situations in which any business may have significant assets including computer equipment, bank accounts, accounts receivable, and major contracts with income that has not yet been billed.

Werksmans: SA Business Guide - Forms of Business Organisation
The most common form of business entity in South Africa is the limited liability company.
Since the Close Corporations Act was promulgated in June 1984, the close corporation (CC) has become a popular form of business entity.
However, South African companies which are controlled by non-residents and whose "gearing" of borrowings to equity capital is considered by the tax authorities to be excessive will not be allowed to deduct for tax purposes interest and similar amounts paid to the non-resident shareholders on the loan funding provided by them.

Business Entities provides sophisticated planning analysis and updates of major tax developments in the taxation of Partnerships, C and S Corporations, LLCs and LLPs, and RICs, REMICs, and REITs.
In our lead article, Wells Hall, a member of the Advisory Board and a frequent contributor to Business Entities, addresses how the qualified dividend income provision reduces the double tax effect of paying out dividends to shareholders of C corporations and S corporations that have accumulated E&P from prior C years.
Wells talks about the tax factors that should be considered when choosing between a C corporation and a pass through entity and the pros and cons of advising clients to go the S corporation route or opt to be an entity taxed as a partnership for federal income tax purposes.
